Shareholder Disputes

We have extensive experience of dealing with a wide range of shareholder disputes. We act for smaller companies with informal shareholder arrangements as well as those seeking to enforce contractual rights contained in shareholders’ agreements. We aim to find practical, commercial solutions for our clients when presented with shareholder disputes, including in cases of deadlock between parties.

We advise in connection with unfair prejudice petitions, derivative actions and the rights of minority shareholders generally.

Experience includes:

  • Defending a multi-million pound unfair prejudice claim through to trial in the High Court which included a successful appeal in the Court of Appeal in relation to costs; Re Addbins Limited [2017] EWHC 2601 (Ch)
  • Acting for a national property developer in defence of a High Court unfair prejudice claim arising out of allegations that a director/shareholder has been unfairly excluded from the management of the company. Achieved a positive resolution, which included a favourable financial outcome and the claim being disposed of.
