Matthew joined Joelson in early 2016 from a well-known mid-sized London firm.  When not lawyering, Matthew spends much of his time riding his bike around the Essex and Suffolk countryside and trying to answer difficult questions about dinosaurs from his wannabe-palaeontologist young son.


Matthew deals with a broad range of transactional and advisory work for both private and public companies, including acquisitions and disposals, corporate finance, restructuring and reorganisations, AIM work, IPOs and general commercial work.

Matthew is experienced in acting on investments and fundraisings, shareholder arrangements, employee incentive structures, and assisting companies to obtain SEIS/EIS clearance.  Matthew has also worked with several EIS Funds.

Matthew has a particular focus on working with start-ups and young companies in a variety of sectors, including the tech sector, building on his experience in the IT industry prior to qualifying as a solicitor.

  • Acting for start-up adtech business in relation to a six-figure investment by an EIS fund.
  • Acting for an entrepreneur setting-up a new restaurant business in relation to the raising of SEIS/EIS funding and the provision of on-going advisory work.
  • Acting for growing e-learning business on its reverse takeover of AIM-listed company and subsequent re-admission of the enlarged group to AIM.
  • Acting for start-up client obtaining EIS clearance and preparing corporate structure and shareholders’ agreement in connection with initial £600k investment.
  • Acting for start-up client setting-up online venture raising initial SEIS funding and subsequent crowdfunding investment round.
