Matthew Overton

Matthew deals with a broad range of transactional and advisory work for both private and public companies, including acquisitions and disposals, corporate finance, restructuring and reorganisations, AIM work, IPOs and general commercial work.

Matthew is very experienced in acting on investments and fundraisings – from pre-seed and seed through to series A, series B and beyond – as well as advising on shareholder arrangements, employee incentive structures. Matthew also advises companies wishing to obtain SEIS/EIS advance assurance from HMRC.

Matt is passionate about working with clients in the impact space, whether that is founders and entrepreneurs building the next generation of businesses taking on the sustainability and environmental challenges that we all face, or working with investors who understand and can help those companies grow and be the successes that we all need them to be. And building on his first life in the IT industry, Matt works with a wide range of clients in the tech space.

• Acting for Rivan Industries on its seed and Series A funding rounds.
• Acting for Nova Biochem on its seed fundraise.
• Advising ADB Safegate, the airside operations technology business, on the divestment of its terminal business line to Canadian company, Modaxo, Inc..
• Advising the founders of Cat In A Flat on the sale of the company to Rover (having worked with the founders from their initial crowdfunding campaign in 2014)
• Acting for JamJar Investments on multiple venture investments (and exits) as well as assisting with the set-up of JamJar Fund II.
