We regularly act for clients listed on U.K. public markets (Official List, AIM and NEX), advising them on their duties and responsibilities towards shareholders and the public and on the relevant regulatory regime.
In particular, we lead and guide clients proactively through the procedures and documentation involved in a Listing or Admission. We have completed many successful AIM Admissions and Readmissions, both for U.K. and overseas entities. Often the work will be combined with an M&A transaction, and we provide joined up advice encompassing capital markets and M&A, and service agreements and appointment letters for directors and focused share incentive schemes.
We work often on dual listings, fast track admissions, public company redomiciles, and reverse takeovers and have built up an extensive network of U.K. and overseas corporate finance professionals and securities lawyers with whom we cooperate closely.
When public listed clients need legal assistance on follow on fund raises (equity and debt) we will become involved at the outset and will work together with our banking and finance experts to provide a well thought out composite service.
